VOID WHERE PROHIBITED OR RESTRICTED BY LAW. THESE OFFICIAL RULES GOVERN ALL ASPECTS OF PARTICIPATION AND PRIZE AWARD.

Promotion: Welcome to the “$500 Slice Swish Sweeps” (the “Sweepstakes”). No purchase necessary to enter or win, and no deposit, entry fee, payment, or proof of purchase is necessary to participate in this Sweepstakes.
Sponsor. This Sweepstakes is sponsored by Slice Solutions, Inc. (the “Sponsor” or “Slice”), who may be contacted by email at socialmedia@slicelife.com or by mail at 349 Fifth Avenue, 6th Floor, New York, NY 10016.
Sweepstakes Period and Description of Sweepstakes. The Sweepstakes shall commence at 8:01 AM Eastern Daylight Time on March 6, 2024 (the “Start Date”) and end at 4:00 PM Eastern Daylight Time on March 26, 2024 (the “End Date”). The period from the Start Date to the End Date shall be known as the “Sweepstakes Period.”
Eligibility. The Sweepstakes is open to legal residents of the 50 United States and District of Columbia who, on the Start Date, are at least 18 years of age or older. The officers, directors and employees of the Sponsor, its subsidiaries and affiliated companies, advertising, promotional and judging agencies, persons engaged in the development, production, distribution, or promotion of materials for this Sweepstakes and the immediate family members (grandparent, parent, child, sibling, and spouse of each) of and/or persons living in the same household as such individuals (whether related or not) are not eligible to participate in the Sweepstakes. All eligible participants (“Participants”) entering the Sweepstakes must comply with all terms and conditions of these Official Rules, the Slice Terms of Use and the Slice Privacy Policy.
How to Enter: There are two ways to enter the Sweepstakes (either an “Entry”):

Share Eligible Instagram Post: During the Sweepstakes Period, Participants may enter by sharing this post to their Instagram story.
Alternative Method of Entry: To enter without sharing the Instagram post (as described in section 5.a above), participants may complete the form located here (an “AMOE Entry”). All AMOE entries must be submitted during the Sweepstakes Period.
Entry Limits: Each Participant shall only be permitted to enter the Sweepstakes one (1) time during the Sweepstakes Period.

Acceptance of Official Rules and Terms. By entering the Sweepstakes during the Sweepstakes Period, each Participant agrees to these Endless Pizza Summer Sweepstakes Official Rules (“Official Rules”) and the Slice Terms of Use and the Slice Privacy Policy. SECTION 18 OF SLICE’S TERMS OF USE CONTAINS A BINDING ARBITRATION AND WAIVER OF CLASS ACTION CLAUSE. PLEASE REVIEW THAT CLAUSE CAREFULLY AS IT AFFECTS YOUR LEGAL RIGHTS. Each Participant agrees to abide by these Official Rules and the decisions of the Sponsor, which are final and binding in all respects.
Selection of Winner. The potential winner of the Sweepstakes (“Selected Winner”) will be chosen on March 26, 2024. The Prizes are listed in the table in Section 9 below. The Selected winner will be selected by random drawing (“Drawing”) from all eligible Entries received from Participants. The Drawing will be conducted by representatives of Sponsor whose decisions regarding the Sweepstakes and the application of these Official Rules are final and binding.

The Selected Winner will be notified by direct Instagram message within one (1) days after the Drawing (the “Notification”).
The Selected Winner must communicate acceptance to Sponsor through email message and provide in return required information and documentation (as described in Section 8 below) (collectively, a “Response’) within forty-eight (48) hours of the Notification.
Any failure of the Selected Winner to provide a Response will result in forfeiture of the Prize. If Sponsor is unable to confirm a winner after three (3) good faith attempts, the Prize may not be awarded.
Subject to verification of eligibility and compliance with the terms of these Official Rules and the Slice Terms of Use, the Selected Winner will be declared the official winner of the Sweepstakes (“Official Winner”).
In the event that the Sponsor Notification cannot be delivered or fails to reach the Selected Winner for any reason, or a Selected Winner forfeits, fails to respond within forty-eight (48) hours of Sponsor’s Notification, or is otherwise disqualified for any reason, an alternate winner may be selected, in Sponsor’s sole discretion, in a Drawing from among all remaining eligible Entries. Any such alternate Selected Winner(s) are subject to the same Notification and Response obligations.
Taxes and fees, if any, are the sole responsibility of the Official Winner. Sponsor is responsible only for prize delivery and expressly disclaims responsibility for prize utility, quality, or otherwise. Sponsor does not provide tax advice, nor should any statements in these Official Rules or on the Service be construed as tax advice.

Verification of Winner. Selected Winner may be required to sign and return to Sponsor an affidavit of eligibility and liability release and, where permitted, a publicity release within 72 hours following the date of first attempted notification. Failure to comply within this time period may result in disqualification and selection of an alternate winner.
Prizes and Odds: The prizes to be awarded to the Official Winner (the “Prize”) as follows:

Prize Description: $500 in Slice credit to be used on the Slice app. This credit will be automatically applied to the Official Winner’s Slice account.

ALL PRIZES ARE AWARDED AS IS AND WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. SOME JURISDICTIONS MAY NOT ALLOW (OR MAY LIMIT) DISCLAIMERS OF CERTAIN WARRANTIES, IN WHICH CASE THE FOREGOING DISCLAIMERS WILL BE ENFORCED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
Odds of winning depend on the total number of eligible Entries received during the Sweepstakes Period.
The Official Winner is solely responsible for all federal, state, and local taxes and other fees associated with his or her receipt and use of a Prize. The Sponsor will withhold and/or report taxes as required by the applicable law of the Sponsor's jurisdiction, and, if so required, the Official winner must provide accurate address and social security details to Sponsor to allow Sponsor to comply with tax regulations and share with appropriate tax authorities.
No substitution, assignment or transfer of Prize is permitted, except by the Sponsor, who reserves the right to substitute the Prize with another prize of greater or equal value if Prize cannot be awarded as stated. Neither a Selected Winner nor Official Winner may request cash or a substitution prize.
Sponsor is responsible only for Prize delivery. Sponsor is not responsible for Prize utility, quality or otherwise.

Applicable Rules and Winner List: For any legally required winner list, send a self-addressed stamped envelope (unless otherwise prohibited by local law) to Slice, 349 Fifth Avenue, 6th Floor, New York, NY 10016; Attn: Endless Pizza Summer Sweepstakes. All such requests must be received within three (3) months after the end of the Sweepstakes.
No Third-Party Sponsor. This Sweepstakes is in no way sponsored, endorsed, or administered by, or in association with any person or other entity, including any third party, other than Slice. Neither Apple, Inc., nor Google, Inc. are Sponsors of this Sweepstakes, and none are affiliated with this Sweepstakes in any way. All inquiries should be directed to Slice.
License Grant. By submitting an Entry to the Sweepstakes, you grant Sponsor, its agents, licensees, and assigns, an irrevocable, perpetual, worldwide, royalty-free, non-exclusive right and permission to reproduce, encode, store, copy, transmit, publish, post, broadcast, display, publicly perform, adapt, modify, create derivative works of, exhibit, and otherwise use your Entry and any information provided with your Entry as-is or as-edited (with or without your name, image and likeness) in any media throughout the world for any purpose, without limitation, and without additional review, compensation or approval from you, except where otherwise prohibited by law.
Additional Terms and Conditions. Slice reserves the right to make reasonable changes to these Official Rules, (a) to ensure the fairness of competition, and (b) in response to unanticipated developments such as technical failures, errors, acts of God, natural disasters, terrorism, and changes in applicable law.
Choice of Law and Disputes. Except where prohibited, entrant agrees that any and all disputes, claims and causes of action arising out of, or connected with, the Sweepstakes or any Prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in the state of New York. All issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules, entrant's rights and obligations, or the rights and obligations of the Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the state of New York, without giving effect to any choice of law or conflict of law or conflict of law rules (whether of the state of New York or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of New York.
Warranty and Indemnity. Each Participant represents and warrants that their entry does not (1) infringe any third party proprietary, intellectual property, industrial property, personal rights or other rights, including without limitation, copyright, trademark, patent, trade secret or confidentiality obligation; (2) include any personally identifiable information of any person other than entrant; or (3) otherwise violate any applicable law. By participating, Participants hereby release, hold harmless, covenant not to sue, and forever discharge Sponsor, its respective parent companies, affiliates, subsidiaries, retailers, divisions, dealers, advertising and promotion agencies, and all others associated with the development and execution of the Sweepstakes, and each of its and their directors, employees, officers, and agents from and against any and all third-party claims, actions, damages, losses, liabilities, costs, expenses, injuries, or causes of action of any kind that in any way now or hereinafter may arise from or relate to any act, default or omission by a Participant under these Official Rules including without limitation resulting from or in relation to any breach, non-observance, act or omission, whether negligent or otherwise, of these Official Rules by an entrant.
Elimination. Sponsor reserves the right at its sole discretion to disqualify any Participant who is found to be (i) acting in violation of these Official Rules or the Slice Terms of Use or (ii) acting in an unsportsmanlike or disruptive manner, with the intent to disrupt or undermine the legitimate operation of the Sweepstakes, or with the intent to annoy, abuse, threaten or harass any other person.
Waiver. Participants hereby waive all rights to: (i) claim punitive, exemplary, special, incidental, indirect and consequential damages and any other damages (whether due to negligence or otherwise), other than for actual out-of-pocket costs; and (ii) have damages multiplied or otherwise increased.
Limitation of Liability. Sponsor is not responsible for electronic transmission errors resulting in omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of entry materials, or for technical, network, telephone equipment, electronic computer, hardware or software malfunctions or limitations of any kind, or inaccurate transmissions of or failure to receive entry information by Sponsor on account of technical problems or traffic congestion via mobile phone or otherwise. Without limiting the foregoing, in the event Sponsor is prevented from continuing with the Sweepstakes as contemplated by any event beyond its control, including, without limitation, a force majeure, infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, fire, flood, epidemic or other national health emergency, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared,) or any federal, state or local government law, order, or regulation, order of any court or jurisdiction, public health crisis, or other cause not reasonably within its control, then Sponsor shall also have the right to modify, suspend, extend or terminate the Sweepstakes. In the event that the Sweepstakes is terminated, canceled, or postponed for any reason whatsoever, the ARV of the Prize will be awarded to the extent required by law. IF, NOTWITHSTANDING THESE OFFICIAL RULES AND THE SLICE TERMS OF USE, SLICE IS FOUND LIABLE TO YOU, THE CUMULATIVE LIABILITY OF SLICE AND ITS LICENSORS TO YOU SHALL IN NO EVENT EXCEED US$100.00. Some jurisdictions do not allow such limitations of liability, so the foregoing limitations shall apply to you up to the maximum extent permitted under applicable law. THE LIMITATION OF LIABILITY DESCRIBED ABOVE SHALL APPLY FULLY TO NEW JERSEY RESIDENTS.
Social Media Promotions. Pursuant to Instagram and Facebook Meta promotion guidelines, this Contest is in no way sponsored, endorsed, administered by, or associated with Instagram or Facebook Meta. By entering, Coaches release and hold Instagram and Facebook Meta harmless from liability.
CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE THE SLICE APP OR SPONSOR'S SERVICE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.
Severability. If any provision(s) of these Official Rules are held to be invalid or unenforceable, all remaining provisions hereof will remain in full force and effect.
